Before practicing law, Nick served as a Green Beret in the U.S. Army Special Forces. He graduated first in his law school class and served as Editor-in-Chief of the Idaho Law Review.

- Represented Caprock, a leading multi-family office registered investment advisor serving ultra-high-net-worth clients, in its acquisition of Venturi Private Wealth, a Texas-based independent wealth management firm with approximately $4 billion in assets under management.
- Represented California Olive Ranch, a portfolio company of Solum Partners, in its sale to Cobram Estate Olives for $173.5 million in cash, vendor notes, and earnout payments.
- Represented Veeva Systems in its acquisition of Ostro, a leading brand engagement platform for life sciences, for approximately $100 million in cash and long-term equity retention rights.
- Represented Schréder in its acquisition of Ligman Lighting USA, an urban lighting manufacturer.
- Represented Hampton Lumber in its acquisition of RedBuilt, LLC, a manufacturer of wood-based structural products.
- Represented a leading institutional investment consulting and advisory firm in the sale of its investment advisory business to a national wealth management platform for a purchase price of over $200 million.
- Represented various manufacturing and service companies in connection with the sale of their businesses to large conglomerates and strategic buyers for purchase prices ranging from over $1 million to over $90 million.
- Represented an education technology company in the approximately $11 million sale of its assessment and learning solutions business to a strategic acquirer.
- Represented a transportation and logistics company in its sale of an aviation cargo handling and logistics business.
- Represented various strategic buyers in connection with business acquisitions and roll-ups involving purchase prices ranging from over $1 million to over $200 million.
Startups & Emerging Companies
- Represented GetWhys, an AI-powered customer intelligence platform, from formation through its multiple financing rounds, including its most recent $5.2 million oversubscribed preferred stock financing round.
- Advised startups and emerging companies on convertible note financings, SAFE financings, preferred stock financings, venture capital investments, and day-to-day corporate and general counsel matters.
Joint Ventures
- Represented a cross-border joint venture between U.S. and Japanese entities and its formation of a real estate focused investment fund with a target capital raise of $200 million.
- Represented clients in a variety of joint venture transactions, including transactions involving real estate development projects and the ownership and operation of private companies.
Investment Fund Formations and Governance
- Represented real estate investment funds, private equity funds-of-funds, and other pooled investment funds on their initial formation, capital structure, and offering of equity interests to investors.
- Drafted private placement memorandums, subscription agreements, and organizational documents in connection with securities offerings.
Outside General Counsel
- Analyzed and drafted various contracts, including membership interest purchase agreements, stock purchase agreements, asset purchase agreements, nondisclosure agreements, executive employment agreements, independent contractor agreements, equity incentive plans, note purchase agreements, and promissory notes.
