About Jennifer

Jennifer Martin is practice group leader for Stoel Rives’ Energy Development group and co-chair of the firm’s Energy Industry Group. She represents energy clients in the negotiation of development-related agreements and advises on regulatory compliance related to deal structuring and implementation. In particular, clients have come to rely on Jennifer for her extensive experience with matters involving many aspects of developing, selling, or acquiring renewable assets, including negotiation and diligence of power purchase and sale agreements, interconnection and transmission arrangements and fuel supply agreements. Jennifer’s experience also extends to corporate renewable transactions, including advising on structuring such transactions under various regulatory regimes and negotiating different types of retail supply arrangements to implement corporate sustainability goals. In this regard, Jennifer has advised clients on virtual power purchase agreements, direct access supply agreements, green energy tariff transactions and purchases from and investments in renewable energy projects. Her clients include owners, investors, developers, and corporate buyers.

Before joining Stoel Rives, Jennifer was a judicial clerk, Minnesota Supreme Court (1999–2000); summer associate at Stoel Rives (1998); research assistant, Professor David Baldus, University of Iowa College of Law (1997–1999); and clerk, Circuit Court of Cook County (1993).

Representative Transactional Work

  • Lead negotiator representing renewable energy developers and marketers in successful negotiations of executed long-term power purchase and sales agreements for purchase or sale of energy, capacity, ancillary services and environmental attributes from wind, solar and biomass facilities with a range of utility counterparties, including Southern California Edison, Tennessee Valley Authority, Pacific Gas & Electric, Bonneville Power Administration, Sacramento Municipal Utility District, Xcel Energy, Salt River Project, and Northern Indiana Public Service Company.
  • Representation of major solar developer in negotiating first-of-its-kind commercial and residential storage and capacity agreements.
  • Representation of major solar developer in negotiation of agreements for behind-the-meter energy sales transactions for on-site solar with universities.
  • Representation of corporate buyer in structuring and negotiating direct access renewable energy purchases.
  • Representation of corporate buyer in connection with energy transaction and purchase of bundled renewable energy product.
  • Representation of corporate buyers and developers in connection with green energy tariff transactions.
  • Advised developers in assessing and responding to utility requests for offers regarding purchase and sales agreements and build, own, transfer arrangements throughout the U.S.
  • Lead negotiator representing renewable energy developers in negotiating interconnection agreements; negotiating with Midcontinent ISO, Southwest Power Pool, California ISO, PJM, and other transmission providers.
  • Representation of owners and biomass developers in negotiations of fuel supply arrangements.
  • Representation of renewable energy investors and developers in conducting due diligence in connection with potential acquisitions of portfolios of existing and planned renewable energy projects; led due diligence teams and drafted and negotiated relevant transaction agreements.
  • Negotiation of development agreements for, and analyzing due diligence of, major utility and merchant transmission projects (both AC and DC).

Representative Regulatory Work

  • Advise and represent clients on interconnection-related disputes before the Federal Energy Regulatory Commission (FERC).
  • Represent power sellers in filings and proceedings before FERC, including applications for power sales tariffs, exempt wholesale generator issues, transfer of jurisdictional assets, investigations into compliance.
  • Advise clients on power sales structures that comply with state utility commission requirements, including behind-the-meter direct access, net metering, and green energy tariff transactions.
  • Advise energy utilities and power sellers on regulatory compliance matters.
  • Represent clients with respect to Freedom of Information Act (FOIA) and state public records law requests for confidential agreements.
