Overview
Chad Marriott serves as counsel to project developers and sponsors across the renewable energy landscape with a focus on tax equity investments and equity transactions, including buy- and sell-side project M&A, joint ventures, cash equity investments and sell-downs. Chad has served as lead counsel on transactions for both operational and development-stage wind, solar, hydro, and battery energy storage projects in the United States and Canada.
Chad has been recognized as one of “America’s Leading Lawyers for Business” (USA) by Chambers Global and (USA—Nationwide) by Chambers USA for his work in the firm’s nationally ranked Renewables & Alternative Energy practice. In addition, Chad is included in The Best Lawyers in America® (Energy Law), and was named to A Word About Wind’s Top 100 Legal Power List 2020, a list of the 100 most influential lawyers working globally on the financing of wind energy projects. His broad experience in finance, M&A, and state and federal utility regulation has proven valuable to clients at the various stages of project development, construction, operation, and repowering.

Tax Credit Transfers
- Represented joint venture owner in sale of Section 48 investment tax credits from four battery energy storage projects in Massachusetts totaling 12 MWdc to a single buyer.
- Represented sponsor in sale of Section 48 tax credits from four separate tax equity partnerships for solar + battery energy storage projects located in Texas, to a single buyer.
- Represented sponsor and tax equity partnership in connection with sale of Section 48 investment tax credits from 506 MWac solar and 305 MWac battery energy storage system in Texas.
- Represented sponsor and tax equity partnership in connection with sale of Section 48 investment tax credits from 186 MWac solar and 114 MWac battery energy storage facilities in Texas to two separate corporate buyers.
- Represented sponsor in sale of Section 48 investment tax credits from a portfolio of four battery energy storage projects totaling 294 MWac installed at co-located wind facilities in Texas.
Tax Equity
- Negotiated separate tax equity investments in more than 20 wind projects totaling >5.6 GW of capacity in Oklahoma, Texas, North Dakota, Kansas, Missouri, Illinois, Nebraska, and Minnesota.
- Negotiated separate tax equity investments from banks and large corporate investors in 12 utility scale solar and solar + battery storage projects in Texas totaling >3 GW of solar and almost 1 GW of storage capacity.
- Represented affiliate of Geronimo Energy, LLC in the tax equity financing of its (1) Nordic Solar portfolio, consisting of nine community solar garden (CSG) projects totaling approximately 40 MWac and its (2) Nordic Solar Phase 2 portfolio, consisting of sixteen CSG projects totaling approximately 16 MWac, in Minnesota.
- Represented sponsor in a tax equity investment in sixteen (16) solar projects in Minnesota totaling 100 MWac.
Cash Equity and Project M&A
- Represented EDF power solutions, Inc. in its mid-construction sale of the 250 MWac Beehive Energy Storage project in Arizona to Copenhagen Infrastructure Partners (CIP).
- Represented joint venture in the acquisition of multiple operational community wind projects in Iowa for repowering.
- Represented Aypa Power Development in its acquisition of multiple development-stage solar and solar + storage projects, including the 250 MWac Signal Butte Grid storage project in Arizona, a 100 MWac project in Virginia, two projects totaling 268 MWac in Indiana, and the 320 MW Vidal solar + storage project in California.
- Represented Coval Infrastructure in its acquisition of multiple development-stage solar and battery energy storage projects including a 200 MW battery storage project in Texas and two solar projects in California totaling approximately 550 MW.
- Represented EDF Renewables in its sale of a 50% stake in the Maverick 6 solar-plus-storage project (131 MWdc coupled with a 50 MW/200 MWh BESS) and the Maverick 7 solar project (179 MWdc) in California to MEAG/Munich Re.
- Led negotiations on behalf of Eolus North America, Inc. for (1) the acquisition of a 60% interest in Wind Wall Development LLC, (2) the simultaneous execution of an asset purchase agreement for the repowering of an existing, operational wind project in Tehachapi, California and (3) the subsequent sale of Wind Wall 1 LLC to Cubico Sustainable Investments.
- Represented affiliate of Longroad Energy Holdings, LLC in its acquisition of two operational wind projects in Minnesota with a combined capacity of 80 MW from NRG Energy, Inc.
- Represented Enel Green Power North America, Inc. affiliate in its acquisition of a 25% equity interest in the 249.75 MW Buffalo Dunes wind project in Kansas from a subsidiary of GE Capital.
- Represented sponsor in the negotiation of separate cash equity investments by GE Capital subsidiaries for 51% stakes in three wind projects in Kansas, Minnesota and Oklahoma.
- Represented Puget Sound Energy, Inc. in the sale of development assets from the 276 MW Lower Snake River complex (now the Tucannon River Wind Farm) to Portland General Electric.
- Represented Powin Energy Corp. in the negotiation of cross-border acquisition and development service agreements with Hecate Energy for 12.8 MW/52.8 MWh of energy storage assets in Ontario, Canada.
Hydroelectric and Hydrokinetic
- Represented joint venture between National Grid Renewables and Rye Development in the sale to Copenhagen Infrastructure Partners (CIP) of an almost 1.6 GW portfolio of closed-loop pumped storage hydropower projects, including the 393 MW Swan Lake North project in Oregon and the 1,200 MW Goldendale asset in Washington.
- Advise clients in due diligence related to existing and development-stage small, conduit, and pumped storage hydroelectric facilities in Washington, California, and Oregon.
- Represented Ocean Power Technologies, Inc. in matters related to the first FERC-licensed wave energy project in the United States.
