John Kauffman is a partner of the firm practicing in the Corporate practice group. He has represented investors, entrepreneurs and corporate management in a variety of business and strategic matters. His work has included start-up formation and growth, mergers and acquisitions, venture capital, commercial and other private financings, public securities offerings and public company reporting and compliance.

Representative Work

Mergers and Acquisitions

  • Represented NANA Development Corporation and its subsidiary Akima Management Services in their acquisition of Pegasus Aircraft Maintenance.
  • Assisted Attachmate Corporation in its sale to an investment group led by Golden Gate Capital, Francisco Partners and Thoma Cressey Equity Partners.
  • Assisted The Cobalt Group, Inc. in its acquisition of Dealix Corporation.

Equity Financings

  • Represented The Cobalt Group, Inc. in its Series B Preferred Stock financing.
  • Represented D.A. Davidson Co. as underwriters in the public offering of shares of Sterling Construction Company by Sterling, and in the public offering of Sterling shares by certain Sterling stockholders.

Debt Financings

  • Assisted Cannon Power Group in the financing of its Windy Point/Windy Flats wind project.
  • Assisted Pacific Realty Associates, L.P., in the completion of numerous commercial loan transactions.
