Todd A. Bauman


Experience

Todd Bauman is a partner of the firm practicing in the Business Services Group with emphasis primarily in corporate securities and general corporate law. He is the Chair of the firm's Technology Ventures Group and has broad experience representing emerging growth and technology companies in private and public financings, SEC reporting and compliance, and acquisitions and divestitures. He also has extensive experience representing venture capital and private equity firms regarding their organization and investments.

Todd was associated with Brobeck, Phleger & Harrison, San Francisco, California from 1984-1987, and prior to that, Todd was a field representative and legislative assistant for U.S. Representative Les AuCoin (First District – Oregon) (1979-1981).

  • Served as issuer's counsel in MedicaLogic's initial public offering ($100 Million).
  • Represented SmartForest Ventures in several preferred stock financings of early-stage, Oregon-based technology companies.
  • Represented Cascade Semiconductor in its sale to Cypress Semiconductor.
  • Represented Unicru, Inc. in its acquisitions of Guru Worldwide, Inc. and Xperius, Inc.
  • Represented Unicru, Inc. in connection with its sale to Kronos, Inc.
  • Represented ProSight Holding, Inc. in connection with its sale to Primavera Systems, Inc.
  • Represented Apex Construction Systems, Inc. in its preferred stock financings and merger with Arxx, Inc.
  • Represented Serveron Corporation in its sale to BPL Global, Inc.
  • Represented Strands, Inc. in its $25 million Series B preferred stock financing and related licensing and development agreement with Banco Bilbao Vizcaya Argentaria, S.A.
  • Represented Elemental Technologies in its $7 million Series A preferred stock financing led by Voyager Capital.
  • Represented SpectraWatt, Inc. in its $50 million Series A preferred stock financing led by Intel Capital.
  • Represented Learning.com in connection with a $24 million Series A preferred stock financing by Educomp.
  • Represented Jive Software in its $15 million Series A preferred stock financing led by Sequoia Capital.
  • Represented Plas2Fuel Corporation in its $4.25 Million Series A preferred stock financing led by Chrysalix Energy Ventures and Saffron Hill Ventures.
