Adam Dittman is an associate in the Corporate, Securities and Finance section of the firm's Corporate group. His practice includes representing businesses on a wide range of legal matters, including general corporate governance, mergers and acquisitions, loan transactions, workout and restructuring services and financing transactions. Adam also regularly represents forest industries companies in the acquisition, disposition and financing of timberlands and related forest products facilities and timberland operations matters.

Representative Corporate and Finance Work

• Represented financial services company in private placement of $20 million preferred stock and supplemental stock and warrant offering.
• Represented buyer in $2 million purchase of vineyard and winery business and related real property.
• Represented nonprofit borrower in the issuance of state capital facilities improvement bond and related loan financing transaction.
• Represented self-storage company in formation and $3.2 million capitalization through secured membership loans.
• Represented large private company in the sale of its $6 million interest in commercial aircraft.
• Represented private financial business in the negotiation and documentation of workout and restructuring transaction.
• Represented secured lenders in consolidated Chapter 11 bankruptcy proceedings.

Representative Forest Products Work

• Regularly represent private timberland owner in real property disposition and acquisition transactions in Oregon and Washington, 2008-2010.
• Represented private timberland company in closing aspects relating to the sales of approximately 16,000 acres, and approximately 115,000 acres of timberland in Oregon, 2008-2009.
• Represented public timber REIT in title review and real estate aspects relating to loan collateralization transaction, acquisition of approximately 179,000 acres of timberland in multiple counties, and other timberland transactions, 2008-2010.
• Represented timberland and mill owner in real estate and closing aspects of a sale of approximately 63,000 acres of timberland in Washington, and an exchange of approximately 2,400 acres of timberlands in Oregon, 2008-2009.
