Adam Dittman is an associate in the Corporate, Securities and Finance section of the firm's Business Services Group. His practice includes representing public and private companies on a wide range of legal matters, including general corporate governance and compliance, mergers and acquisitions, workout and restructuring services and debt and equity financing transactions. Adam also regularly represents forest industries companies in the acquisition, disposition and financing of timberlands and related forest products facilities.
Representative Work
- Represented issuer in private placement of $20 million preferred stock and supplemental stock and warrant offering to institutional and individual investors.
- Represented nonprofit borrower in the issuance from the Oregon Facilities Authority of a Small Nonprofit Accelerated Program (SNAP) Bond and related capital loan financing transaction.
- Represented self-storage and wine vaulting company in its formation and $3.2 million capitalization through secured membership loans.
- Represented seller in the sale of its $6 million beneficial interest in commercial aircraft subject to long-term leveraged lease.
- Represented private financial business in the negotiation and documentation of workout and restructuring transaction valued at approximately $300,000.
- Regularly work on transaction teams representing forest products clients in the acquisition and sale of timberlands in Oregon and Washington.
