Experience

Ian Crawford is an associate in the Trial Practice Group, where he works with clients on insurance, construction and design, and antitrust and unfair competition matters. He also provides counsel on U.S. and foreign jurisdiction pre-merger notification issues.

In addition, Ian has extensive corporate experience, having assisted private and public companies on various securities and corporate matters. Ian focused his business practice on equity and debt financing, with particular emphasis on venture capital and private placement financing, mergers and acquisitions, and SEC reporting and compliance.

Prior to joining Stoel Rives, Ian was a professor, Southeast European University, Faculty of Public Administration, Tetovo, Macedonia (spring semester 2006); municipal development volunteer, U.S. Peace Corps, Struga, Macedonia (2003-2005); summer intern, Office of Recruitment, Examination and Employment, U.S. Department of State, Washington, D.C. (summer 2002).

Representative Work

Insurance and Construction and Design Litigation

  • Member of plaintiff team representing a real estate management company in settlement negotiations over claims against its automated clearing house services provider under employee theft and fidelity insuring agreements.
  • Member of defense team representing a municipal corporation in a multi-million dollar, option contract formation arbitration. Obtained arbitration award for client on all matters in dispute, including attorney fees.

Competition Law

  • Provided counsel on pre-merger notification filings, including analysis of worldwide turnover data, drafting of joint defense agreements, Hart-Scott-Rodino notifications and accompanying exhibits, and coordination with foreign counsel for multi-million dollar acquisition in the metal forging and manufacturing industry.

Formation/Venture Capital

  • Worked on transaction involving Oregon-based online curriculum material company in $26 million Series D Preferred Stock financing.
  • Worked on transaction involving Oregon-based recommendation software and online service company, with operations in Spain and Finland, in $23 million Series B-2 Preferred Stock financing.

Capital Market Transactions

  • Worked on transaction involving Oregon-based financial services company in $300 million fixed-to-floating rate Income Capital Obligation notes.
  • Worked on transaction involving Nevada-based equipment rental company in $90 million 144A offering of second priority secured high yield notes and follow on exchange offer.

Mergers and Acquisitions

  • Worked on transaction involving Oregon-based web delivery systems company focused on patient and consumer health education videos in $6.7 million reverse triangular merger.
  • Worked on transaction involving international investment bank in $8 million purchase of assets of an energy forecasting company with operations in the Pacific Northwest and Ukraine.
  • Worked on transaction involving Nevada-based construction company in $7 million sale of limited liability company membership interests.
