Overview

Our team has broad experience helping health care clients conceive, negotiate and implement strategic affiliations.  We handle all aspects of health care transactions.  We anticipate and resolve the full range of financing, regulatory, contractual, tax, labor, employee benefits, executive compensation and corporate governance issues that can be critical factors in completing the deal. We conduct thorough due diligence associated with these transactions, such as analysis and advice regarding Stark and fraud and abuse compliance, Medicare and Medicaid reimbursement, and accreditation and licensure.

A key consideration when entering agreements with competitors, formalizing relationships with manufacturers and distributors, or analyzing mergers and acquisitions is ensuring compliance with antitrust and competition laws. Our antitrust team has significant experience guiding clients through negotiation, due diligence and the Hart-Scott-Rodino merger review process.

We’ve handled transactions for managed care organizations, hospitals, ambulatory surgery centers, physician practices, insurers, imaging centers, clinical research centers, long-term care facilities and practice management companies.

Matters
  • Represented a private company operating Medicaid and Medicare health plans in connection with the sale via merger of all of its common stock to a publicly traded health plan provider.  The transaction required approval from the Oregon Insurance Division. 
  • Represented a nonprofit Seattle-area network of neighborhood physician clinics and managed care plan in member-substitution transaction with major regional health system affiliate. 
  • Represented Puget Sound Cancer Centers, one of the largest single-specialty medical oncology and hematology practices in Washington, in connection with termination of its affiliation with a practice management company and establishment of an affiliation with Swedish Health Services.
  • Represented Pacific Dental Services, a provider of business support services to over 200 dental practices in the western United States and Texas, with respect to affiliated entity organization and documentation, periodic stock transactions, equity incentive compensation and general corporate counseling.
  • Represented Bioject Medical Technologies Inc., a developer and manufacturer of needle-free injection technology, in connection with its Series G Preferred Stock financing.
  • Represented Radiology Specialists of the Northwest, a subspecialized radiology practice in Oregon, in connection with the acquisitions of certain assets of Nova Radiology, PC, and River Radiology, PC.
  • Represented The Oregon Clinic, the largest private specialty physician practice in Oregon, in the sales of its cardiology division and medical oncology division to Providence Health System.
  • Assisted with the formation of a network of cardiovascular surgeons and represented the network in connection with a state antitrust inquiry into the legality of the network.
  • Assisted with the formation of a physician hospital organization and related antitrust advice.
