About Ramona

Ramona has over 20 years of experience representing natural resource companies and others in matters involving state and local government, transactions, and financing.  Oil and gas companies have come to rely on Ramona for title opinions, asset transactions, surface use and access issues, pipeline rights-of-way, matters arising under unit agreements and joint operating agreements, financing transactions, and compliance with Alaska’s unique oil and gas regulations.  Ramona assists mining companies with transactions, title reports, access issues, joint ventures, and other exploration and project development matters.  She has also applied her experience to title and due diligence issues for wind energy projects and timberland transactions.  Clients seek Ramona’s experience for compliance with the Coastal Zone Management Act and state coastal management programs.  She has also negotiated many cable television franchise agreements with local governments and represented these clients in hearings before elected officials to obtain approval of these agreements.  Ramona serves as a Trustee-at-Large of the Rocky Mountain Mineral Law Foundation.

Oil & Gas

  • ConocoPhillips Alaska, Inc., - Seconded to inhouse legal department on two separate occasions for a total of 15 months. Analyzed complex issues regarding title, encumbrances, and leasehold obligations; analyzed issues arising under unit agreements and joint operating agreements; assisted with unit expansion application; performed due diligence for lease acquisition; assisted with sale of assets and related issues.
  • Furie Operating Alaska, LLC – Represented independent oil and gas company in obtaining necessary State of Alaska approvals to install new offshore natural gas production platform in Cook Inlet, including 16-mile pipeline and onshore gas processing facility. This was the first new platform installed in Cook Inlet in 15 years.
  • Furie Operating Alaska, LLC – Assisted client in obtaining $160 million to finance installation of offshore infrastructure for natural gas development.
  • Oil and Gas Title Opinions – Prepared complex oil and gas title opinions for various companies in Alaska. Opinions cover leases on state, federal, and Native lands, offshore and onshore, for purposes of drilling, division order, acquisition, and financing.
  • Represented innovative company in determining how State of Alaska regulations affect deployment of new technology in oil and gas operations in Alaska.

Mining

  • Assisted mining company with transaction involving exchange of surface rights and mineral rights on different properties so each side ended up with both surface and minerals.
  • Represent junior mineral exploration company in a variety of transactions, including exploration agreements, joint ventures, purchase and sale agreements, and preparing mining and royalty deeds.
  • Hecla/Greens Creek Mine – Prepared comprehensive title report on active large-scale mining comprised of more than 700 mining claims, and later update of the title report, in connection with a significant financing transaction. Assisted client in satisfying lender by completing curative actions identified in title report.

Coastal Zone Management

  • Alaska Coastal Management Program – Analyzed proposed citizens’ initiative to reinstate Alaska’s coastal management program and educated the campaign team on what the initiative would do, contrary to the proponents’ claims. The initiative was ultimately defeated.
  • CZMA – Advised the client with respect to compliance with the Coastal Zone Management Act and the coastal management programs of 7 Atlantic states in connection with the client’s application to conduct a geophysical survey along approximately 1,000 miles of the U.S. Atlantic coastline.

Cable Television Franchising

  • Cable franchising – Represented a major telecommunications provider in negotiating cable television franchise agreements with various cities and counties in California, Oregon, and Washington, including appearing before City Councils and Boards of County Commissioners in public hearings to obtain approval of the agreements. Also represented the client in obtaining consent to transfer many of these agreements to a new service provider.
  • Cable franchising – Represent a new cable television service provider in negotiating a franchise agreement with a major midwest city.
