About Nick

Nick Gourley is an associate in Stoel Rives’ Corporate group. Nick focuses his practice on a wide range of corporate matters, including corporate governance, mergers and acquisitions, investment fund formation, financing transactions, securities regulation and compliance, and contract drafting and negotiation. Nick prides himself on consistently being accessible and responsive in serving his clients’ needs.

Before joining Stoel Rives, Nick worked as a law clerk (2018–2019) and summer associate (2018) at Stoel Rives, interned for the general counsel of a national life insurance company (2017), and served in the U.S. Army as a Special Forces Engineer Sergeant (2011–2016). Nick is a native Idahoan and enjoys skiing, playing tennis, and spending time outdoors with his family.

  • Representation of Idaho-based manufacturing and service companies in the sale of their businesses to large conglomerates in their industries for purchase prices ranging from over $1 million to over $70 million.
  • Representation of venture capital funds, real estate investment funds, private equity funds-of-funds, and other pooled investment funds on their initial formation, capital structure, and offering of equity interests to investors.
  • Representation of startups in connection with business formation, corporate governance, and capital raises.
  • Drafted private placement memorandums, subscription agreements, and organizational documents in connection with investment fund formations and capital raises.
  • Analysis and drafting of various contracts, including note purchase agreements, promissory notes, membership interest purchase agreements, stock purchase agreements, asset purchase agreements, nondisclosure agreements, executive employment agreements, independent contractor agreements, equity incentive plans, and leases.
  • Assisted in various entity formations, including the drafting of operating agreements, partnership agreements, articles of incorporation, bylaws, and corporate resolutions.
  • Assisted in various entity reorganizations, including mergers, conversions, and domestications.
