Overview
Tyler Runsten is a corporate attorney at Stoel Rives LLP whose practice centers on debt finance transactions and general corporate governance. Tyler regularly counsels lenders and borrowers as they structure various sizes of debt finance facilities. Tyler’s experience also includes advising corporate clients as they navigate other complex transactions such as mergers and acquisitions, expansions and restructuring. He has assisted clients in a variety of industries including agribusiness, renewable energy, transportation and manufacturing.
Tyler also maintains an active pro bono practice, representing asylum seekers in affirmative and defensive proceedings.
Before joining Stoel Rives LLP, Tyler was a law clerk with the Environmental Defense Center and an extern to the Honorable William Alsup of the U.S. District Court for the Northern District of California.

- Counsel to Lithia Motors, Inc. (NYSE: LAD) in connection with its senior secured syndicated credit facility providing revolving and motor vehicle floorplan loan commitments totaling $6.0 billion.
- Counsel to Proterra Finance LLC, a Minneapolis-based private equity firm focused on investments in the natural resources sectors of agriculture, food, and consumer products, in establishing a number of term, revolving and delayed draw credit facilities in connection with acquisitions by private equity firms.
- Counsel to True West Capital Partners in several senior and subordinated loans.
- Counsel to Lazydays Holdings, Inc., then a publicly traded RV Dealership group, in the restructuring of its credit facility as it sold substantially all of its assets to Campers Inn, which industry press indicated was one of the largest acquisitions in RV industry history.
- Counsel to renewable energy company in its acquisition of a portfolio of over 195 MW in development-stage solar projects in Oregon.
- Counsel to renewable energy company in its acquisition of a portfolio of over 55MW in development-stage solar projects in Maryland.
- Counsel to The One Group, Inc., a publicly traded company, in its acquisition of Safflower Holdings Corp., parent of Benihana, Inc.
- Counsel to West Salem Machinery in its sale to Brux Siwertell.
- Representation of Pivot Energy in connection with its acquisition of SGC Power, a Maryland-based community solar developer.
- Counsel to Reed College in completing an issuance of $125 million of taxable fixed rate bonds in order to refinance the college’s existing indebtedness, allow the termination of certain swap liabilities, and provide funding for general corporate purposes of the college.
- Representation of Turtle Island Foods, SPC, dba Tofurky, owner of the plant-based Tofurky and Moocho brands that manufactures and markets products in the U.S., on its sale to Morinaga Nutritional Foods, Inc., a subsidiary of Tokyo-based food conglomerate Morinaga Milk Industry Co., Ltd.
