About Terri

Terri Rambosek is a health care lawyer with over 25 years of experience assisting hospitals and health care systems, physicians and medical groups, insurers, IPAs, and other clients as they navigate the complex regulatory environment that affects their business operations and strategic transactions. Her collaborative approach, business insights, and communication skills enable Terri to provide practical advice and support based on an in-depth understanding of an organization’s strategic goals.

Terri has advised these clients regarding regulatory matters, including Stark and anti-kickback laws, governance, certificate of need requirements, reimbursement issues, and other compliance concerns. She has also counseled clients regarding operational matters, including medical staff affairs, quality improvement and risk management activities and general policies and procedures.

Before joining Stoel Rives, Terri was Vice President and General Counsel for the Northwest Division of Common Spirit Health (formerly Catholic Health Initiatives). In that role, she managed a large and complex system with operations that include urban and rural hospitals, multi-specialty clinics, an ACO, and numerous strategic partnerships. Earlier in her career, she held positions of increasing responsibility at several other health care organizations and law firms.

  • Led acquisitions/affiliations and sales of non-profit and for-profit hospitals, physician practices, and other healthcare businesses.
  • Developed numerous joint ventures, management and co-management arrangements, and other collaborative transactions.
  • Assisted clients with a variety of operational matters, including:
    • Regulatory questions involving fraud and abuse laws, HIPAA compliance and other issues.
    • Redesign of medical staff structure and bylaws as well as resolution of medical staff issues.
    • Establishing and operating accountable care organizations and other new operations.
    • Developing behavioral health operations, including integrated programs, and resolving issues unique to behavioral health.
    • Negotiating between physicians and hospitals with respect to management and collaborative agreements, and other arrangements including professional services and employment contracts.
    • Effective board operations and other governance matters.
