Paul Boyd is a retired partner of the firm who focused his practice on the representation of public and private corporations, emerging companies and venture investors in business and technology acquisitions, mergers, joint ventures, and venture capital financings and other securities transactions. In its 2019 annual survey of America’s best attorneys for business, Chambers and Partners quoted a client: “He is the best I have ever worked with because he really knows the law, understands the business, and is highly efficient.” Paul’s practice included advising a broad range of information technology concerns, including software, semiconductor, network device, and wireless services companies. Paul also advised technology companies in the protection, transfer, and licensing of intellectual property. In addition, his practice included the formation and syndication of venture capital partnerships as well as ongoing negotiation and documentation of portfolio company acquisitions. Paul is a member of the firm’s Corporate and Technology Ventures practice sections and has been a frequent speaker at bar and industry conferences on buying and selling businesses, venture capital financings, counseling emerging growth companies, and technology transfers.

  • Represented CradlePoint, Inc. in its $89 million Series C Preferred Stock funding with Technology Crossover Ventures (TCV).
  • Represented WhiteCloud Analytics, Inc., a health care consulting and analytic software developer, in its acquisition by a subsidiary of Relias Learning, which is owned by the German mega-conglomerate Bertelsmann.
  • Represented a publicly traded operator of hazardous waste disposal sites in its $465 million acquisition of a Michigan based hazard waste disposal and treatment company.
  • Represented a multibillion-dollar joint venture in its $141 million acquisition of a Northwest-based vegetable processing company.
  • Represented United States Antimony Corporation, a publicly traded mining company, in its NYSE MKT listing application, and in three successive PIPE (private investment in public entity) stock offerings.
  • Represented ProClarity Corporation, Idaho’s largest software company, in successful Series A and Series B preferred stock financing rounds totaling $9.0 million, and the Company’s subsequent sale to Microsoft Corporation.
  • Represented Inovus Solar, Inc., a manufacturer of proprietary solar-powered light pole technology, in a successful $2.0 million Series A Preferred Stock financing round and a $4.5 million Series B Preferred Stock financing round.
  • Represented CradlePoint, Inc., a manufacturer of portable wireless routers, in successful Series A, Series A-1, Series B and Series B-1 financing rounds totaling more than $25.0 million.
  • Represented a publicly-traded operator of hazardous waste disposal sites in the acquisition of hazardous waste disposal facilities in Grandview, Idaho and Quebec, Canada.
  • Represented a multibillion-dollar food and agricultural company in the establishment of a joint venture partnership in India.
  • Represented WhiteCloud Analytics, Inc., a health care consulting and analytic software developer, in its successful Series A and Series A-1 preferred stock financings.
  • Represented Electronic Controls Co. (ECCO), one of the nation’s largest manufacturers of back-up alarms and similar products, in its sale to Berwind Capital, a private equity firm.
  • Represented Endeavour Capital, an Oregon-based private equity firm, in its $80 million equity investment in Winco Foods.
  • Represented angel investors in the formation and funding of the Boise Angel Fund, the Treasure Valley Angel Fund and the Capitol City Angel Fund.
  • Represented Hoku Corporation in a $25 million PIPE (private investment in public entity) transaction, in the preparation and filing of a $100 million securities shelf registration statement with the SEC, and in its $100 million investment and financing transaction with Tianwei New Energy Holdings, Co., Ltd., a company located in the Peoples Republic of China.
  • Represented a Netherlands based developer and operator of automated cold storage systems in its private equity financing with Westport Capital Partners.
  • Represented Prosperity Organic Foods, a manufacturer of a coconut-oil based butter substitute, in its successful Series A, Series A-1 and Series B preferred stock financings.
  • Represented Sawtooth Ideas, a SaaS based provider of woodworking plans and solutions, in its Series A financing.
