Alyssa Petroff is a corporate attorney who counsels her clients, from startups to established companies, on corporate governance matters, securities compliance issues, supply chain agreements, and significant corporate transactions including equity financings, mergers and acquisitions, corporate restructurings, and other complex strategic transactions. She has advised clients in a broad range of industries, including food and beverage, manufacturing, tech, and health care. Alyssa’s background in commercial litigation gives her unique insight in helping clients avoid pitfalls as they enter and manage business relationships.

Previously, Alyssa was an associate at Davis Wright Tremaine LLP (2019–2021), Stoel Rives LLP (2016–2019) and Nixon Peabody LLP (2010–2013).

  • Represent startups, emerging growth companies, and investors in connection with business formation, founders’ issues, and venture capital financing.
  • Negotiate supply, warehousing, freight and license agreements on behalf of clients in the agribusiness, food and beverage, and manufacturing industries.
  • Advise alcohol beverage industry clients with respect to licensing matters, distribution, and general trade practice compliance with the regulations of the U.S. Alcohol and Tobacco Tax and Trade Bureau and various state regulatory agencies.
