Overview

Mary Sennes advises developers, owners and sponsors in the acquisition, sale and financing of solar, battery energy storage, wind and biofuels facilities throughout the United States.  Practicing in the corporate group at Stoel Rives, Mary regularly counsels renewable energy clients in M&A transactions, tax equity structures and tax credit purchase and sale transactions. Mary also represents clients in a variety of industries on commercial transactions, corporate reorganizations and joint venture transactions.

Mary provides practical business advice, offering her clients experience gained at a global law firm, other U.S. law firms and as in-house counsel at a Fortune 10 company.

Mary’s pro bono activities include providing business advice to clients through LegalCORPS.

  • Represented Standard Solar in acquisitions of community solar projects throughout the United States.
  • Represented Greenbacker Renewable Energy Company in acquisition and financing transactions, including:
  • Acquisition and financing of an operating wind farm in Maine.
  • Tax equity financing of multiple portfolios of solar and solar plus storage projects located throughout the United States.
  • Warehouse credit facility for renewable energy projects across ten states.
  • Represented ENGIE in acquisition of projects with 6GW of solar and battery storage capacity.
  • Represented developer in the acquisition of a combined solar and battery energy storage facility in California.
  • Represented sponsor in connection with tax equity financings of portfolios of battery energy storage facilities in Texas.
  • Represented sponsor in connection with the sale of tax credits for a portfolio of battery energy storage facilities.
  • Represented Turtle Island Foods, SPC, dba Tofurky, owner of the plant-based Tofurky and Moocho brands that manufactures and markets products in the U.S., on its sale to Morinaga Nutritional Foods, Inc., a subsidiary of Tokyo-based food conglomerate Morinaga Milk Industry Co., Ltd.
  • Represented a U.S. producer-owned vertically integrated beef company in M&A and corporate matters.
  • Represented biofuel technology companies in development activities and purchase and sales transactions throughout the U.S.
