About Nathan

Nathan Luce focuses his practice on representing buyers, sellers and lenders in acquisitions, dispositions, development, and financing of commercial, retail, multifamily, and condominium projects. He also has experience representing landlords and tenants in the drafting and review of leases for a wide range of commercial projects, including office buildings, shopping centers, restaurants, and retail stores.

Nathan also advises clients in the commercial and residential real estate brokerage industries on a wide range of legal and regulatory matters.

Nathan serves as the chair of the firm’s opinion committee and as the pro bono coordinator for the Seattle office.

Nathan is also the author of two chapters in the Washington State Bar Association’s upcoming 2023 edition of the Real Property Deskbook: “Choice of Entity in Real Estate Transactions” and “Purchase and Sale of Residential Real Estate.” He also served as editor of the chapter on Common Interest Communities.

Nathan is an affiliate instructor at the University of Washington, where he teaches Real Estate Law through the Runstad Department of Real Estate.

Before joining Stoel Rives, Nathan was an associate (2011–2018) and summer associate (2010) at Foster Pepper PLLC.

  • Representation of developer in connection with condominium structuring and formation for 1 million-square-foot, mixed-use office and retail development.
  • Representation of developer in connection with common interest community structuring and development of a 300+ lot unit subdivision.
  • Representation of developer in connection with CCRs and commercial condominium structuring for 18-acre, mixed-use retail, office, and residential development.
  • Representation of building owner in condominium conversion and renovation of a 35-unit apartment building in Seattle, Washington.
  • Representation of owners’ associations in connection with condominium merger and restructuring matters.
  • Advised owner’s association in connection with wind down and termination issues in connection with 1,000+ unit timeshare condominium.
  • Representation of developer of a mixed-use condominium and townhome development on Bainbridge Island, Washington.

Development, Finance and Joint Venture Projects

  • Representation of developer of a 36-acre, transit-oriented development on former industrial space in Bellevue, Washington.
  • Representation of developer in the development and sale of a $1.1 billion public-company headquarters in Seattle’s South Lake Union neighborhood.
  • Representation of developer in the development and sale of a national headquarters for a Seattle, Washington-based public-company retailer.
  • Representation of developer of a 1.7 million-square-foot, mixed-use office, hotel, retail, and residential tower in downtown Seattle.
  • Representation of borrower in connection with a $100 million construction loan for the renovation of a Seattle landmark.
  • Representation of lender in connection with a $15 million mezzanine loan for the acquisition of a national-branded hotel in Los Angeles, California.
  • Representation of joint venture partner in negotiations for the development of a $40 million transit-oriented apartment project.

Leasing

  • Representation of public-company tenant in negotiating a lease for its 100,000+ square-foot Seattle headquarters.
  • Representation of landlord in the acquisition of a ground lease interest and sublease to a public-company aviation manufacturer.
  • Representation of landlord in connection with retail and restaurant leasing for portfolio of properties in Seattle’s South Lake Union neighborhood.

Acquisitions and Dispositions

  • Representation of joint venture sellers in the $565 million sale of two mixed-use office buildings comprising a total of 541,487 square feet of office space in the Spring District in Bellevue, Washington.
  • Representation of seller in the sale of an approximately $150 million mixed-use hotel and retail project in Seattle’s South Lake Union neighborhood.
  • Representation of buyer in the $60 million acquisition of a research and development office park in San Jose, California.
  • Representation of seller in the $75 million sale of partnership interests in a national apartment portfolio.
  • Representation of seller in the sale of a 20-acre office complex in Issaquah, Washington.
  • Representation of seller in the $1 billion sale of a nationwide senior-housing portfolio to a real estate investment trust and its affiliates.
  • Representation of buyer in the acquisition of a $500 million apartment portfolio in the southeastern U.S.
