Overview

Monica L. Keo-Newton helps clients through mergers and acquisitions, securities and financing transactions, corporate governance, and tax matters. She works with clients on the buy and sell side of transactions to achieve their business goals through creative problem solving and a fresh perspective. Monica works closely with clients in industries such as fisheries, timber, agriculture, consumer products, recycling, and technology.

Prior to joining Stoel Rives as an associate, Monica consulted for local small businesses at the Ronald A. Peterson Law Clinic, worked in-house at Avalara, Inc., and was a summer associate at Stoel Rives. Prior to her legal career, Monica also worked in regulatory compliance with affordable housing tax credits, managing a portfolio of over 2,100 apartment units.

  • Represented an Alaska-based seafood company in its acquisition of all outstanding membership interests in a Washington-based seafood processing company.
  • Represented a Washington recycling and transportation business in its acquisition of substantially all the assets and real property of a metal and commercial and demolition recycling company in Snohomish, WA.
  • Represented the shareholders of a Washington recycling and transportation business in the sale of their stock to a global asset management fund.
  • Represented a consulting and project management firm in the carve out and divestiture of its governmental consulting and defense contracting business and represented its shareholders in the shareholders’ stock sale to a global project management firm.
  • Represented owners of an insurance agency and its related subsidiaries in the sale of the owners’ membership interests to a national insurance broker.
  • Represented the sole member in the sale and equity rollover of membership interests of a material handling solutions company.
  • Represented an Alaska Native Corporation in its acquisition of substantially all the assets of a directional drilling company located in Washington.
  • Represented an Alaska Native Corporation in its acquisition of all the membership interests of a general contracting business located in Alaska.

  • Represented a private equity firm in its acquisition of the assets of an adventure tourism business in Alaska.

  • Represented a private equity backed software company in its acquisition of all the shares of a complementary software company.
  • Represented a transportation and recycling company in its acquisition of all the shares of a hauling and container services company in Washington.
  • Member of the team that served as counsel to a joint venture’s acquisition of the fishing vessels, fishing rights, and other fishing assets of various Alaskan companies operating in the Bering Sea.
