About Anthony

J. Anthony Girolami specializes in corporate and energy-related transactions with an international focus. As a member of the Energy Development group, Anthony represents both U.S. and international clients in cross-border business transactions involving the development and financing of renewable energy projects, agricultural developments and basic infrastructure throughout Latin America. He has represented financial institutions, infrastructure developers and energy companies in the formation of joint ventures, project financings, greenfield project developments, construction and supply contracts, off-take agreements and distribution agreements.

Prior to joining Stoel Rives LLP, Anthony founded and managed the Girolami Legal Group, a business law firm in San Diego, California. He was also counsel with the Mexico City office of Chadbourne & Parke (2006-2009) and a senior associate at Shearman & Sterling LLP in New York and São Paulo, Brazil (2003-2006). Anthony is fluent in Spanish and Portuguese.

  • Advised Simpatica Brasil LLC in the formation of a joint venture with a Brazilian agricultural company for the development and operation of an avocado plantation in the State of São Paulo, Brazil.
  • Represented a Southern California real estate development company in connection with the development and financing of a 50 MW PV solar generation facility.
  • Advised Clipper Windpower, Inc. in connection with the negotiation and documentation of a turbine supply agreement and operation and maintenance agreement with Fuerza Eolica del Istmo related to a 40 MW wind farm in Oaxaca, Mexico.
  • Represented TransPerfect Translations International in connection with the formation of a Brazilian subsidiary company.
  • Advised Mexico Power Group in connection with the negotiation and documentation of project agreements related to four wind power projects located in Baja California, Cozumel, Nuevo Leon and Zacatecas, Mexico.
  • Represented WestLB AG, New York Branch in connection with a project financing related to the construction of an industrial waste disposal plant in Antofagasta, Chile.
  • Advised Clipper Windpower, Inc. in connection with the negotiation and documentation of a turbine supply agreement related to a 50 MW wind farm in Oaxaca, Mexico.
  • Advised Transportadora Brasileira Gasoduto Bolivia Brasil S.A. in connection with the preparation and negotiation of equipment supply contracts with various U.S., Israeli and Japanese suppliers.
  • Represented HR Ratings de Mexico, S.A. de C.V. in connection with a Partial Credit Enhancement Agreement issued by the Inter-American Development Bank.
  • Advised a Brazilian private equity firm in connection with a $20,000,000 cross-border senior secured bridge loan for a Mexican pipeline supplier.
