About Heather

Heather Stewart is Of Counsel in the firm’s Corporate group and a member of the firm’s Energy industry group. Heather is experienced in project finance and commercial finance matters, with a particular focus on construction, bridge and term debt financing of renewable energy projects.  She also assists developers with the acquisition of renewable energy projects.

Before joining Stoel Rives, Heather was a senior associate at Orrick, Herrington & Sutcliffe LLP in San Francisco (2008-2012) and Portland (2012-2017) and an associate at Thelen Reid Brown Raysman & Steiner LLP in San Francisco (2002-2008). She represented sponsors and developers in the financing of renewable and conventional energy projects, and also advised companies in a variety of industries on mergers and acquisitions and general corporate matters.

Experience

Energy Project Finance

  • Represented the sponsor and its affiliates in the construction and back-leverage financing and partnership-flip tax equity financing of a 105 MW solar project located in California.
  • Represented the sponsor and its affiliates in a partnership-flip tax equity financing of a portfolio of solar projects located in California and New York.  
  • Represented the developer and its affiliates in connection with a $50 million letter of credit facility to support the development of utility scale solar projects in the United States and Canada.  
  • Represented Pine Gate Renewables, LLC in its entrance into a partnership with John Hancock in which Pine Gate owns and manages 35 solar facilities totaling 413 MW, located in North Carolina, South Carolina and Oregon, while John Hancock acquires an equity interest in the facilities.
  • Represented the lender and tax equity provider in connection with its debt and tax equity financing of a portfolio of five solar projects located in Rhode Island.  
  • ​Represented the sponsor and its affiliates in the construction and back-leverage financings for 1.2 GW of utility-scale solar projects located in California and Texas involving seven projects and over $3 billion and debt and tax equity financing.
  • Represented the sponsor and the project company in the construction, tax equity and cash equity financing of a 100 MW wind project located in Texas.
  • Represented the sponsor and its affiliates in the $50 million acquisition financing for a portfolio of solar projects located in Ontario, Canada.
  • Represented the project company and the sponsor in the construction and term loan financing of a 60 MW grid-connected solar photovoltaic generating facility located in Kern County, California. The transaction was one of the largest solar financings in the United States in 2014 and was named IJGlobal’s North American Renewables Deal of the Year.
  • Represented the sponsor and its affiliates in a $100 million revolving credit facility for the construction financing for a portfolio of community solar, residential, C&I and utility-scale solar projects located throughout the United States.
