About Erica

Erica Valli is an associate in the Corporate practice group. Erica assists clients in various stages of corporate finance transactions including entity formation, contract negotiation and drafting, mergers and acquisitions, and a wide range of debt financing transactions. She has experience representing borrowers, lenders and fund clients in the renewable energy space as well as infrastructure and real estate finance transactions.

Prior to joining Stoel Rives, Erica worked for a number of years at a top-tier international law firm in London, including six months working on structured finance transactions based out of the firm’s Paris office. Erica has also been active with early stage companies through her work at TechFestNW and as a member of Pipeline Angels.

  • Represented an international renewable energy investor in connection with its private placement of $240 million of senior promissory notes.
  • Represented the Wastewater Opportunity Fund, a fund managed by Equilibrium Capital, in connection with the solid waste bond offering used to finance the construction of a renewable natural gas production facility in a transaction underwritten by Goldman Sachs & Co.
  • Represented an alternative lender in its lending to a seafood manufacturer and distributer operating on the Snake River in Idaho.
  • Represented a natural gas company in connection with its private placement of $250 million of senior promissory notes.
  • Represented The Willamette Valley Company in connection with the financing of the acquisition of a controlling interest by Endeavour Capital.
  • Represented a Utah-based public company in refinancing its secured revolving credit facility.
  • Represented an Oregon-based company in refinancing its existing financing with a $60 million farm credit facility and $20 million commercial facility.
  • Assisted an Oregon-based company in borrowing under a bridge facility in connection with a reverse exchange transaction.
  • Represented a South American energy company in securing funding for the construction of its infrastructure assets.
  • Represented a major international bank in its lending to a luxury hotel group for the purchase, development and operation of a boutique hotel.
  • Acted for a major European state-owned “bad bank” in relation to its restructuring and transfer of assets.
  • Advised a publicly listed company on lending and restructuring of debt secured by prime commercial real estate.

  • Represented an Oregon-based logistics company in connection with its $12 million sale transaction.
  • Represented a German manufacturing company in connection with its $10 million purchase of a laser technology company.
  • Represented an automotive company in connection with its acquisition of two Oregon-based companies specializing in electric vehicle parts.
  • Represented a Washington-based technology company in connection with its $24 million sale transaction, structured as an equity sale.
  • Represented Rosboro Company, LLC in the sale of its forest products operation to WynnChurch Capital.
  • Advised private equity firms in relation to bids for portfolios of commercial property assets across Europe.

Energy and Renewables

  • Represented a developer in its acquisition and financing of a development-stage solar project in California.
  • Represented an international infrastructure fund in connection with its acquisition of a controlling stake in a 183MW wind project.
  • Represented an international sustainable energy company in connection with its $100 million acquisition of a New York-based energy analytics provider.
  • Represented an international infrastructure fund in connection with its acquisition of a controlling stake in a portfolio of wind assets out of the SunEdison, Inc. chapter 11 bankruptcy estate.
  • Represented a renewable energy investment firm in connection with the acquisition of solar assets in California, New Mexico, Colorado and New Jersey.
