Stoel Rives congratulates its client RES America Developments on closing the sale of its 100 percent membership interest in Hog Creek Wind Project LLC, a 66 MW wind development project located in Hardin County, Ohio, to EDP Renewables LLC (EDPR).

Negotiations for the deal lasted for approximately nine months and resulted in the client closing on the sale of its ownership interests, while simultaneously executing (via its construction affiliate) a Balance of Plant contract for the RES construction team to build the project for EDPR.

The Stoel Rives deal team was led by Kevin Prohaska and included attorneys Gene Frassetto, Sarah Johnson Phillips and Emma Fazio—who worked with the client amassing due diligence materials and negotiating complicated real estate and title issues—Jason Johns for regulatory matters, Adam Schurle for tax and entity structure issues, and David Levant for opinion matters.
