The Start-Up Package
For a business just starting out, we offer a package of legal services specifically designed to efficiently and effectively meet the company's initial organizational needs. For a fixed fee of $1,500, we will incorporate the company and provide the basic initial documentation, including:

• Articles of incorporation
• Bylaws
• Organizational minutes or resolutions
• Tax identification number filing
• Share subscription agreements
• Share certificates
• Form of offer letter to employees
• Form of confidentiality agreement with employees
• Standard stock incentive plan
• Stock and stock option ledgers

Beyond the Start-Up Stage After the company is organized and begins actively moving toward a significant round of external financing, we offer a wide range of fee options thatfacilitate progress toward a successful financing. Some of these options include deferred billing until the initial round of financing is closed, discounted rates for the pre-financing legal work, fixed-rate agreements and task-based budgeting. We understand that the fee structure that makes the most sense for an individual company is highly dependent upon the specifics of its situation. We will take the time to discuss the various options in detail in order to find the best ways to tailor the fee structure to a company's particular needs.
