Stoel Rives Boise Attorneys Advise US Ecology on $465 Million Acquisition

BOISE- Stoel Rives LLP, a full-service U.S. business law firm, is pleased to announced its role as legal advisor to US Ecology, Inc. (NASDAQ-GS: ECOL) on its acquisition of EQ - The Environmental Quality Company (“EQ”) for $465 million. Based in Boise, Idaho, US Ecology is a leading North American provider of environmental services to commercial and government entities.

Stoel Rives Boise Corporate Partner Paul M. Boyd advised the company on the acquisition, including the negotiations regarding the purchase agreement, that was announced in April. He was assisted by Boise Partner Krista K. McIntyre on environmental review and Portland Partner Gregory H. Macpherson on employee benefit plan matters.

The acquisition was funded with cash on hand and borrowings under a new $540 million credit facility made up of $415 million in seven-year term debt and a $125 million five-year revolving line of credit.

With a solid stream of recurring revenue and national customer base, the combined company offers cross-selling opportunities and operational efficiencies that we believe will deliver compelling value to both our customers and our stockholders for years to come.”
