Experience

Graham Noyes is Of Counsel in the Energy and Telecommunications practice group. Graham focuses his practice on the development and improvement of renewable energy companies and other clean technology ventures. Representative clients include companies involved in the wind, biofuel, synfuel, fuel cell, biogas, biomass, and carbon cap and trading sectors.

Graham joined Stoel Rives after working for seven years in sales and business development in the biofuels industry. As an executive at two leading U.S. biodiesel companies, Graham garnered a wide range of practical experience in emerging industry issues including corporate organization and management; integration of renewable fuels into existing fuel and energy markets; infrastructure and logistics planning and deployment; commodity hedging and trading; policy driven markets; and strategic relationships.

Graham works with clients to develop solutions appropriate to their business. His transactional experience includes drafting, negotiating and closing agreements for renewable energy producers and marketers, major petroleum companies, utilities, and major agricultural commodity suppliers. For clients seeking financing, he works closely with the firm's corporate group to provide instruments such as early stage capital, venture capital fund raising, debt and equity structures, mergers and acquisitions, and joint ventures.

Graham is also knowledgeable in mid-stream and down-stream petroleum finished products markets, including infrastructure, rail, trucking, domestic and international shipping, pipeline, terminal, bulk plant, retail distribution, tax, incentive, specification and regulatory compliance issues. He has significant experience with policy matters on both the state and federal level, and works with state policy groups, trade associations, lobbyists and policy makers on renewable energy and clean technology issues.

Representative Work

  • Assisted company developing next generation biojet fuel projects obtain intellectual property and trade secrets protection.
  • Advised agri-business growing next generation biofuel feedstocks in Central and South America.
  • Drafted marine provisions, time charter agreement and purchase and sale agreements for biofuels and clean products barges.
  • Assisted in development of a wind turbine supply agreement for 85 MW windfarm.
  • Developed joint development agreement for European-based utility to invest in North American biogas projects.
  • Negotiated first agreement to supply biodiesel blend via common carrier pipeline in United States.
  • Negotiated and drafted biodiesel supply agreement with Constellation Energy in 20 eastern states.
  • Negotiated biofuel supply agreement and requirements contract with Hawaiian Electric Company for 110 MW Generating Station.
  • Castillo v. Marshall successfully filed and pursued through summary judgment motions a federal prisoner civil rights action against the California Department of Corrections that ultimately established due process protections for inmates in segregation units of California's maximum security prisons.
  • Tried over 30 juvenile, misdemeanor and felony criminal and civil trials in state and federal court and won verdict in majority of these.
